Acceptance of Terms

By accessing or using Braind (the "App"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use Braind.

Use of Braind

You may use Braind solely for lawful, personal, or non-commercial purposes. You must not:

• Use the app for any illegal, harmful, or unauthorized purpose.
• Attempt to gain unauthorized access to any part of the app or its related systems.

Uploading Documents

Braind allows you to upload and view documents for discussion and collaboration. By uploading content, you agree:

• You are solely responsible for any materials you upload.
• You will not upload content that is illegal, defamatory, obscene, abusive, or infringes on intellectual property rights.

User Conduct

You agree not to:

• Harass, threaten, or abuse other users;
• Impersonate others or misrepresent your identity;
• Disrupt the functionality or security of the platform.

You are solely responsible for your behavior and interactions within Braind.

User Content Ownership & Usage

You retain full ownership of all content and documents you upload to Braind. We do not claim ownership of your content.

However, by using Braind, you grant us a non-exclusive, limited license to use your content:

• To deliver and improve the service;
• To analyze aggregated usage data;
• And, unless you opt out (if/when an opt-out mechanism is provided), to improve our AI models, including training and fine-tuning language models.

We take privacy seriously and will never use personally identifiable or sensitive content to train models unless required by law or explicitly authorized by you. Content used for training is anonymized and handled securely.

App Permissions

Braind may request access to your device's file system to allow document import and viewing. These permissions are used solely to enable core app functionality.

Automatically Collected Information

We may collect anonymized technical data such as:

• Device and operating system information
• Usage statistics
• Crash logs

This information helps us improve performance, user experience, and reliability.

Privacy

We value your privacy. Please refer to our Privacy Policy for detailed information on how your data is collected, used, and protected.

Subscriptions & Cancellations

Braind offers access to its services through enterprise subscription agreements. Subscription terms, pricing, and service levels are governed by the specific contract signed between Braind and your organization.

Unless otherwise stated in the agreement:

• Subscriptions are billed on a recurring basis (monthly, quarterly, or annually) as specified in the contract.
• Contracts are binding for the agreed subscription term and cannot be cancelled early for a refund, unless otherwise agreed in writing.
• Requests to cancel or modify a subscription must be submitted in writing at least 30 days prior to the renewal date, unless a different notice period is specified in the contract.
• No refunds will be issued for any unused portion of the subscription period.
• Additional services, such as AI credits or premium support, may be billed separately or included based on the subscription tier.

All enterprise clients are subject to the terms of their individual Master Service Agreement (MSA) or Subscription Agreement, which shall prevail in case of any conflict with these general Terms & Conditions.

Credit-Based Access to AI Services

Certain AI-powered features within Braind operate on a credit-based system, primarily for interactions with large language models (LLMs) and similar advanced AI tools. Unless otherwise defined in your enterprise agreement:

• Complimentary credits may be included with your subscription.
• Additional credits may be purchased for continued use.
• All credit purchases are final and non-refundable.
• Credits are for use exclusively within the Braind platform.

Termination

We reserve the right to suspend or terminate your access to Braind at any time, with or without notice, for violations of these terms or disruptive behavior.

Disclaimer of Warranties

Braind is provided "as is" and "as available." We do not guarantee uninterrupted service, freedom from errors or bugs, or compatibility with all devices.

Limitation of Liability

To the maximum extent allowed by law, Braind is not liable for any indirect, incidental, or consequential damages arising from the use of the app or any related services.

Governing Law

These terms are governed by and construed in accordance with the laws of the jurisdiction in which you reside or use the app, unless otherwise required by applicable law.

Changes to These Terms

We reserve the right to modify these Terms and Conditions at any time. Your continued use of Braind after changes have been posted will constitute acceptance of the updated terms.
